Terms of Service

1. Operator and scope

TG Flows at https://tgflows.com (the “Service”) is operated by DIGITAL SQUAD s.r.o., Company ID (IČO) 21902453, VAT ID CZ21902453, registered office Děčínská 552/1, Střížkov, 180 00 Prague 8, Czech Republic, registered in the Commercial Register kept by the Municipal Court in Prague, Section C, Insert 408329 (the “Operator”, “we”). Contact: Telegram support @tgflowssupportbot. You accept these Terms by creating an account and confirm them again when activating a paid subscription; we record the date and version accepted for your account.

The Service is aimed primarily at businesses (B2B). A user who confirms at checkout that they order in the course of business is not treated as a consumer; consumer provisions apply only to users who actually are consumers.

2. The Service

TG Flows is a SaaS application for running Telegram bots: connecting a bot via its @BotFather token, broadcasts, visual flows and automations, a live-chat inbox with subscribers, audience and tag management, analytics, team collaboration and optional Telegram-channel management. The Service depends on the Telegram platform, whose availability and behaviour we cannot control; your use must comply with Telegram’s terms.

3. Account

Registration requires truthful details (email and password, or Google sign-in). The Service may be used only by persons over 18 and by persons authorised to act for the relevant business or legal entity. Keep your credentials and bot tokens secure — we recommend enabling 2FA. You are responsible for activity under your account, including your team members.

4. Free trial

Every newly connected bot is free for its first 7 days, no card required. After the trial the bot keeps receiving messages and collecting subscribers, but sending is paused until you activate it. Each bot gets one trial only — reconnecting a previously used bot does not grant a new trial (any previously paid state is restored).

5. Active Subscribers and capacity

An Active Subscriber is a unique Telegram account recorded with a given bot that you have not removed from the audience or blocked. One Telegram account counts once per bot; the same account subscribed to several bots counts separately for each. The count updates continuously and is visible in the app; you may remove inactive or lost subscribers at any time to reduce capacity usage.

Reaching or exceeding the paid capacity never triggers an automatic upgrade or automatic extra charges. Sending of new messages may be temporarily paused until you raise the capacity or reduce the audience; receiving continues.

6. Prices and payment

Pricing is per activated bot based on the chosen Active-Subscriber capacity (1,500–50,000). Contract prices are set in Czech koruna (CZK); amounts shown in other currencies (including the indicative EUR prices on the website) are informative only. The exact CZK price, billing period, any VAT and the total payable are shown in the Stripe checkout before you submit the order; for foreign cards Stripe also shows the local-currency conversion. Where managed Telegram channels are a paid feature, this article applies to each activated channel accordingly.

Prices include VAT where applicable unless stated otherwise. For EU businesses with a valid VAT ID the reverse-charge mechanism may apply; the VAT ID can be entered at checkout. Invoices are available in the Stripe customer portal.

Subscriptions run monthly or yearly and renew automatically until cancelled. A capacity change is agreed by paying the new price at checkout and takes effect upon payment, starting a new billing period at the new capacity; capacity cannot be set below the bot’s current number of Active Subscribers. If a renewal payment repeatedly fails, the subscription ends and the bot is locked (stops sending). On ordinary cancellation the price already paid for the running period is not refunded — the Service is provided until its end; a consumer’s rights under Sections 8 and 9 remain unaffected.

7. Term and cancellation

You can cancel anytime from the app via “Cancel subscription”, which opens the secure Stripe customer portal; cancellation takes effect at the end of the paid period. After the subscription ends your subscribers and data remain available in your account and the bot can be re-activated anytime. A workspace owner may delete the account in settings (team members request deletion by email); data is then removed per the Privacy Policy. We may delete a free account unused for more than 24 months after prior email notice with a reasonable period.

8. Defects and complaints

Towards consumers we are responsible for the Service conforming, during the paid subscription, to the contract, its description and the usual purpose of services of this kind. Complaints can be made via our Telegram support (@tgflowssupportbot), stating your account, the affected bot or workspace, a description of the defect and the requested resolution. We confirm receipt in text form and remedy defects within a reasonable time — for consumers no later than 30 days. If a defect is not remedied, recurs, or its removal is impossible or disproportionate, a consumer may request a reasonable price reduction or withdraw from the contract under statutory conditions. The “as is” nature of the Service does not affect consumers’ statutory rights or obligations that cannot be contractually limited.

9. Consumer withdrawal

A consumer may withdraw from a paid subscription within 14 days of its conclusion without giving a reason, by messaging our Telegram support (@tgflowssupportbot) — the model form in Annex 2 may be used. The checkout includes the consumer’s express request that we start providing the Service during the withdrawal period; upon withdrawal the consumer pays a proportional part of the price for the Service already provided and we refund the rest without undue delay, at the latest within 14 days, using the same payment method. The free trial is unaffected. Consumer disputes may be resolved out of court by the Czech Trade Inspection Authority (adr.coi.cz).

10. Acceptable use

  • send commercial or marketing messages only to persons for whom you have a valid legal basis or consent, and always provide a simple, free opt-out (the bot honours /stop);
  • no unlawful, fraudulent or hateful content or content infringing third-party rights;
  • no violating Telegram’s terms, circumventing technical limits (including capacity limits), overloading the Service or attacking its security;
  • no regulated activities without the required licence.

We may restrict or suspend an account or bot for violations (with prior notice where reasonable; without it in serious cases); no refund is due for a justified suspension caused by your violation. You are responsible for the content sent through your bots and for your legal obligations towards your subscribers.

11. Indemnification

A non-consumer user shall indemnify the Operator against damage and reasonable costs (including legal fees) arising from justified third-party claims or public-authority sanctions caused by the user’s content, campaigns, or breach of these Terms or applicable law.

12. Your content

Content you upload remains yours; you grant us a non-exclusive licence to process it solely as needed to run the Service (storage, delivery to Telegram, backups).

13. Data protection

Processing of users’ personal data is described in the Privacy Policy. Your subscribers’ personal data is governed by the Data Processing Agreement in Annex 1.

14. Availability and changes

We aim for continuous availability but do not guarantee a specific uptime; short outages may occur due to maintenance or third-party failures (Telegram, Stripe, infrastructure). We may reasonably evolve the Service. If a change significantly adversely affects a consumer’s access to or use of the Service, we will inform them in advance in text form of its nature and date and of the right to terminate; upon termination we refund the corresponding part of the price for the unused prepaid period where required by law.

15. Liability

To the extent permitted by law, we are not liable for indirect or consequential damages (including lost profit, lost business opportunities or harm caused by third-party outages), and our total liability from one event or related events is capped at the amount you paid for the Service in the 12 months preceding the event. The cap does not apply to damage caused intentionally or by gross negligence, to harm to natural rights of a person, or to non-waivable consumer rights.

16. Intellectual property

The Service, its code, design and the TG Flows brand are protected; you receive a non-exclusive, non-transferable right to use the Service for the duration of the contract.

17. Assignment, set-off, force majeure

We may assign the contract within a sale of business, corporate transformation or to an affiliated entity, and will inform you. Non-consumer users may not unilaterally set off claims against us. Neither party is liable for delay caused by force majeure (internet or Telegram outage, cyber-attack, acts of public authority etc.); affected obligations are suspended for its duration.

18. Changes to these Terms

We may reasonably amend these Terms with at least 14 days’ notice in the app or by email; if you disagree, you may terminate before the effective date. Continued use constitutes acceptance. Each version is numbered and dated.

19. Governing law and jurisdiction

These Terms are governed by Czech law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). For non-consumer users the courts of the Czech Republic competent for the Operator’s seat have exclusive jurisdiction. For consumers, the choice of law and forum does not deprive them of protections of the law of their habitual residence that cannot be derogated from by agreement.

20. Final provisions

If any provision is invalid or unenforceable, the remainder stays in force and the invalid provision is replaced by one closest in meaning. These Terms exist in Czech and English; the Czech version prevails. Provisions which by their nature survive (liability, indemnity, data protection) survive termination. Version 2.0, effective July 19, 2026.

Annex 1 — Data Processing Agreement (Art. 28 GDPR)

This Annex applies to personal data for which the User is the controller and which the Operator processes as processor when providing the Service.

  • Subject-matter and nature: storage, structuring, transfer and display of data within the Service’s features (bot operation, message delivery, automations, contact management, live chat, analytics, security, support, backups);
  • Purpose: providing the Service under these Terms;
  • Duration: the term of the contract and thereafter as set in the Privacy Policy;
  • Data subjects: subscribers of the user’s Telegram bots, the user’s team members and other persons communicating through connected bots;
  • Data types: Telegram ID, username, name, language, profile photo, message and media content, tags, interaction history, opt-out/block data, technical data and logs.

As processor we shall:

  • process only on your documented instructions (exercised primarily through the Service’s features) and promptly inform you if we consider an instruction to infringe the GDPR;
  • ensure confidentiality of authorised persons;
  • implement Art. 32 measures (TLS in transit, AES-256-GCM encryption of tokens and login sessions, workspace isolation, access control, 2FA);
  • engage sub-processors only under GDPR conditions — the current list is in the Privacy Policy, you grant general authorisation, we notify intended changes (in-app or by email) and you may raise a reasoned objection within 14 days; sub-processors are bound by equivalent obligations;
  • transfer data outside the EEA only with appropriate safeguards under Chapter V GDPR (adequacy decisions, SCCs);
  • assist you with data-subject rights (in-app export and deletion) and with Art. 32–36 obligations, including DPIAs and communication with supervisory authorities;
  • notify you without undue delay of a personal-data breach affecting the processed data, with information needed for your notification duties;
  • delete the data after termination per the Privacy Policy unless Union or Member State law requires storage;
  • make available information necessary to demonstrate compliance and allow audits — primarily via documentation and reports; on-site audits at most once a year, with 30 days’ written notice, during business hours, without disrupting operations, at your cost.
